Requirements for the establishment of Sp. z o.o. (Limited Liability Company):

minimum number of managers : 1; minimum number of shareholders : 1; an address in Poland is required, Companies Register is public, basic capital : 5.000 PLZ, minimum share of one shareholder is 50 PLZ. A manager of the company is necessary; the company must keep account books and submit a declaration of taxes. The corporate income tax is 19 %.
